Item 1.01. Entry into a Material Definitive Agreement
On April 19, 2005, the Compensation Committee of the Board of Directors of Novatel Wireless, Inc. (the Company) adopted a bonus plan applicable to the Companys executive officers for fiscal 2005. Under the terms of the plan, each participant is eligible to receive a discretionary cash bonus from the Company in a dollar amount equal to a percentage of his or her annual base salary in effect as of the end of 2005 based on the achievement of certain individual, departmental and Company-wide 2005 performance targets. The bonuses could range in amounts between 25% and 75% of the applicable salary and are expected to be determined and paid at the end of the Companys 2005 fiscal year. The Company has reserved the right to amend the plan in its sole discretion.
